1. Agreement to Terms

By accessing our website (vaylency.com) or engaging Vaylency for any service, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services. We reserve the right to update these terms at any time, with changes effective upon posting.

2. Services

Vaylency provides web design, development, landing page creation, brand identity design, and related digital services ("Services"). The specific scope of any project will be agreed upon in writing (via email or a signed proposal) before work commences.

We reserve the right to decline any project at our discretion.

3. Client Responsibilities

You agree to:

  • Provide accurate, complete information needed to complete your project
  • Supply required assets (text, images, branding materials) in a timely manner
  • Respond to feedback requests within a reasonable timeframe to avoid project delays
  • Ensure that any content you provide does not infringe on third-party intellectual property rights
  • Not use our services for any unlawful purpose

Project timelines are estimates based on prompt responses. Delays caused by late content delivery or feedback may extend the delivery date accordingly.

4. Payment Terms

Unless otherwise agreed in writing:

  • A 50% deposit is required before work begins
  • The remaining 50% is due upon project completion, before final files or website access are transferred
  • Invoices are payable within 7 days of issue
  • We accept payment via bank transfer, credit/debit card, and PayPal
  • Late payments may incur a 1.5% monthly fee on the outstanding balance

For custom/scale projects, a tailored payment schedule will be agreed upon in the project proposal.

5. Revisions

Our service packages include a specified number of revision rounds. Revisions are changes to the agreed scope; they are not the addition of new features or requirements. Additional revisions beyond the included rounds, or changes to scope after approval, will be quoted separately and billed at our standard hourly rate.

6. Intellectual Property & Ownership

Upon receipt of full payment, you receive full ownership of all custom deliverables created for your project, including final design files and website code.

We retain the right to:

  • Display the work in our portfolio and marketing materials (unless you request otherwise in writing)
  • Use third-party tools, fonts, stock assets, or frameworks that remain subject to their own licenses

You are responsible for ensuring you hold the rights to any content, images, or materials you supply to us for use in your project.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project that is designated as confidential or that would reasonably be understood to be confidential. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Cancellation & Refunds

  • Client cancellation: If you cancel after work has commenced, the deposit is non-refundable. Any additional work completed beyond the deposit value will be invoiced.
  • Vaylency cancellation: If we are unable to complete a project, we will refund any payments for work not yet delivered.
  • Completed and approved work is non-refundable.

9. Limitation of Liability

To the maximum extent permitted by law, Vaylency's total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service in question.

We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or data
  • Errors in content or information you supply
  • Third-party service outages (hosting, domain registrars, etc.)

10. Warranties & Disclaimer

We build websites using professional care and skill. However, we do not guarantee specific business outcomes (leads, sales, search rankings) as these depend on many factors outside our control.

Our services are provided "as is" without any express or implied warranties beyond those required by law.

11. Governing Law

These terms are governed by the laws of the jurisdiction in which Vaylency is registered. Any disputes shall be subject to the exclusive jurisdiction of the courts in that jurisdiction. We encourage resolution through direct communication before any formal proceedings.

12. Website Use

By using our website, you agree not to:

  • Attempt to gain unauthorized access to any part of our website or systems
  • Submit false or misleading information through our contact forms
  • Use automated tools to scrape, crawl, or harvest data from our website
  • Introduce malicious code or interfere with the proper functioning of our website
